SAND Bylaws

ARTICLE I - NAME AND PURPOSE

A. NAME
The name of this organization shall be South Atlantans for Neighborhood Development, Inc. The special name shall be SAND.

B. PURPOSE
The purpose of SAND shall be to offer all SAND residents regardless of race, gender, age, creed, sexual orientation, economic status or disability the opportunity to participate in improving the quality of life within our community, to offer a means for discussions of and solutions to issues affecting our neighborhoods, and to promote a sense of community pride and belonging.

ARTICLE II- MEMBERSHIP

A. MEMBERSHIP AREA
The membership area of SAND shall be the area bounded as follows:
Commencing at I-20 and Moreland Avenue, south on Moreland Avenue to Moreland Drive, west on Moreland Drive to McDonough Boulevard and including south Woodland Avenue, Athas Street, and Welch Street, northwest on McDonough Boulevard to Boulevard, north on Boulevard to the Atlanta & West Point Railroad, northeast on the railroad to I-20, and east on I-20 to Moreland Avenue. The neighborhoods within the SAND membership area include, North Ormewood Park, Ormewood Park, Woodland Hills, McDonough-Guice, Benteen and Boulevard Heights.

B. ELIGIBILITY OF MEMBERSHIP
SAND membership is extended to all persons 18 years of age or older whose primary place of residence is within SAND or any person, corporation, organization, institution or agency which owns property or has a place of business or profession within SAND.

C. VOTING PRIVILEGES
All resident members of SAND shall have one vote. Any person, corporation, organization, institution or agency which owns property or has a place of business or profession within SAND shall have one vote to represent the owned property or place of business or profession. No member may have more than one vote. Members must have attended two meetings in the past twelve (12) months before being eligible to vote at the third meeting.
There shall be no absentee voting or voting by proxy at any monthly, special or annual meeting of SAND.

D. RIGHTS OF MEMBERS
Members may attend all meetings. Members will have access to the bylaws, financial records, correspondence and minutes from all meetings.

ARTICLE III - BOARD OF DIRECTORS

A. BOARD OF DIRECTORS
The Board of Directors (the "Board") shall consists of ten persons which shall include The President, Vice President, Secretary, Treasurer and six elected representatives, one from each of the six SAND neighborhoods . The President shall be the Chairman of the Board, the Vice President shall be the Vice Chairman, and the Secretary shall record the minutes.

B. BOARD DUTIES
The Board shall meet quarterly to review the financial records, the activities of SAND, the committee reports and fulfilling of committee activities. The Board shall review annually the financial records. Special meetings of the Board may be called by the President and shall be called on the written request of three members of the Board.

C. RULES REGULATING BOARD
The President shall vote only in the event of a tie vote.
Members of the Board shall reside within the SAND membership area and be eligible voting members of SAND.
Members of the Board shall be elected by a majority vote of the SAND members eligible to vote at the November meeting.
The term of office shall be one (1) year commencing January 1, following the election.
All Board Members may succeed themselves.
The Board shall be required to attend all monthly meetings and special meetings; more than two consecutive or three total absences shall be cause for removal from the Board..
All Board Members shall reveal conflicts of interest. A conflict of interest shall be defined as when the person acting will receive a personal or monetary benefit from the outcome of the issue being considered. If a Board Member has a conflict of interest relative to an issue being discussed, that Board Member shall step aside for the duration of the discussion of that topic.
A Board Member acting on behalf of SAND shall represent the recorded position of the SAND membership. If a Board Member cannot objectively do this, they shall not act as spokesperson for SAND on that issue.

D. REMOVAL FROM THE BOARD
Any Board Member may be removed by a two-thirds (2/3) vote of the members voting at a monthly meeting. No removal from the Board may be finally voted on at the meeting where it is first proposed.

E. VACANCIES
Candidates for vacancies shall be elected by a majority of members voting at the next available monthly meeting, except for the President, who shall be succeeded by the Vice President. In such case a new Vice President shall be elected at the next monthly meeting.

ARTICLE IV - OFFICERS

A. OFFICERS
The officers shall consist of President, Vice President, Secretary and Treasurer as elected by the Membership.

B. OFFICER DUTIES
The President shall preside over the monthly, annual, and special meetings of the Membership. The President shall also preside over the Board of Directors and Executive Committee meetings. The President shall perform all administrative duties as required by the office including preparing an agenda for monthly meetings. The President shall act as spokesperson for SAND in all matters pertaining to its business but should not commit SAND to any business or express any viewpoint for SAND that has not first been approved by the SAND membership. The President shall propose a budget to the membership at the January meeting following the annual meeting.

The Vice President shall preside over any meeting of the organization or the Board in the absence of the President or in cases of conflict of interest of the President as defined in Article III, Section C of these Bylaws. The Vice President shall assume the office of the President in the event of a vacancy in such office. As SAND’s representative, the Vice President shall be the liaison to the neighborhoods within the SAND boundaries by attending meetings such as Neighborhood Watches, NPU-W, and any organization with which SAND may have interaction.

The Secretary shall be the custodian of all records except those specifically assigned to others. The Secretary shall take and report to the SAND membership minutes of all monthly and special meetings. The Secretary shall receive and record the attendance of each meeting and maintain records of written committee reports. The Secretary will assist with all official correspondence.

The Treasurer shall keep official financial records and supporting documents of all income and expenses for SAND and report the status of these at each monthly meeting. The Treasurer shall be authorized to receive all funds. The Treasurer shall be responsible for ensuring that all disbursements conform with the annual budget or have had prior approval by the SAND membership. The Treasurer shall prepare an annual financial report. The Treasurer shall be responsible for keeping special funds separate from normal operating funds.

ARTICLE V - COMMITTEES

The Executive Committee shall be a standing committee. The Executive Committee shall consist of the elected officers and committee chairpersons and shall meet monthly to coordinate the activities, programs and mission of SAND.

Other Committees shall be formed to meet the needs of the membership. Committees may include but not be limited to Public Relations, Land Use and Zoning, Beautification, Parks, Economic Development, Public Safety, Tour of Homes, Community Events, Fund Raising and Membership.

ARTICLE VI - MEETINGS

A. MEETING SCHEDULES
There shall be a monthly meeting on the first Thursday of each month except as otherwise provided by a majority vote of those members voting at a monthly meeting.
There shall be an annual meeting held on the first Thursday in November.

B. SPECIAL MEETINGS
The purpose of a special meeting is to take care of urgent or emergency business which cannot wait until the next monthly meeting. A special meeting may be called at anytime if requested by a majority vote of the Board of Directors. Members who have attended any of the previous three-(3) SAND meetings shall be notified at least forty-eight (48) hours prior to the Special Meeting. One third (1/3) of the total average attendance of the three previous SAND meetings shall constitute a quorum. Eligible Members attending the special meeting can decide a policy question by a two-thirds (2/3) vote.

C. RULES OF PROCEDURES FOR ALL MEETINGS
The rules contained in the current edition of Robert's Rules of Order (Revised) shall govern the SAND meetings in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order SAND may adopt.
All decisions at any monthly, special or annual meeting that require a vote need a motion, a second, and a majority approval of those members voting in order to pass with the exceptions as stated in these BYLAWS.

ARTICLE VII - CHANGES TO BYLAWS

These BYLAWS may be amended, repealed, or altered in whole or in part by a two-thirds (2/3) vote at any monthly meeting of SAND. Abstentions shall not be counted as a vote per Robert’s Rules of order (Revised), only yea/nay votes shall be counted in computation of the two-thirds (2/3) vote. No change to these BYLAWS may be finally voted on at the monthly meeting where the alteration is first proposed. A complete summary of changes in the BYLAWS must be published in "the Porch Press" in time to notify members prior to voting. A copy of the proposed changes shall be made available by the Secretary prior to and at the meeting.
